Partner Terms & Conditions

1. About Us

CarBasket Automobile Services India PVT. LTD., Bangalore (hereinafter "CarBasket", "we", "our", or "us"), is a government-registered company (CIN, GST, MSME, Startup India). CarBasket provides a platform connecting vehicle owners with authorised partners for vehicle scrapping, resale, inspection, and transport services.

1A. Partner Eligibility & Onboarding

Partners must be legally registered, hold valid trade licenses, GST registration, and any other regulatory approvals required under applicable laws. CarBasket reserves the right to verify partner credentials, bank accounts, insurance, and operational capability before onboarding.

2. Role of Partners

Partners agree to provide services as per applicable laws and CarBasket’s standards. Services include, but are not limited to, vehicle scrapping, transport, inspections, and issuance of legally required certificates such as CoD and CVS. Partners shall perform services independently while complying with all central, state, and local regulations.

3. Compliance & Legal Obligations

Partners must maintain all applicable licenses, environmental approvals, insurance, and operational standards. Any failure to comply with laws, safety standards, or CarBasket policies may result in suspension, termination, or penalties.

4. Certificates & Documentation

- Partners are responsible for issuing legally recognized certificates including CVS, CoD, or other documents.
- CarBasket may facilitate issuance but does not independently issue legally binding certificates.
- Partners shall ensure accurate documentation, timely delivery, and maintain records for audit or verification.

5. Service Standards & SLAs

Partners agree to meet timelines, quality, and operational standards communicated by CarBasket. Delays, non-compliance, or substandard services may result in deductions, penalties, or suspension.

6. Commission & Payment Terms

- Partners will receive payments based on mutually agreed rates and CarBasket commission structure.
- Payments will be released after service completion, verification, and deduction of applicable fees or penalties.
- CarBasket reserves the right to withhold payments in case of disputes, non-compliance, or incomplete services.

7. Liability & Indemnity

- Partners shall indemnify and hold harmless CarBasket, its directors, employees, and affiliates from any claims, damages, penalties, or legal proceedings arising due to negligence, misrepresentation, or non-compliance with laws.
- CarBasket shall not be liable for any act, omission, or violation committed by the partner.

8. Insurance & Risk Management

Partners must maintain sufficient insurance coverage for transport, scrapping, labor, and other risks as applicable. Proof of insurance must be provided to CarBasket upon onboarding and upon request.

9. Confidentiality & Data Protection

Partners must protect customer and CarBasket data in accordance with applicable data protection and privacy laws. Partners shall not misuse, share, or retain any customer information beyond the scope of services.

10. Termination & Suspension

CarBasket reserves the right to suspend or terminate a partner account in the event of:

• Non-compliance with legal or regulatory requirements
• Failure to meet service standards or SLAs
• Misrepresentation of documents or credentials
• Violations of platform policies or applicable laws

11. Dispute Resolution

Any disputes arising between partners and CarBasket shall be resolved through arbitration or mutual discussion. Partners agree to comply with CarBasket decisions regarding service termination, penalties, or compliance actions.

12. Intellectual Property

Partners shall not use CarBasket’s branding, logos, or content for any commercial purpose without written consent. All intellectual property rights remain with CarBasket.

13. Force Majeure

CarBasket and partners shall not be liable for failure or delay due to events beyond reasonable control, including natural disasters, strikes, system failures, regulatory changes, or RTO downtime.

14. Severability & Waiver

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect. Failure by CarBasket to enforce any right shall not be deemed a waiver of such right.

15. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of India, including the Motor Vehicles Act, Consumer Protection Act, Vehicle Scrappage Policy, and Information Technology Act. Jurisdiction shall lie exclusively with courts in Bangalore, Karnataka.
